Terms & Conditions

Governing the sale and export of agricultural fertilizers

1. General Provisions

These General Terms and Conditions of Sale apply to all export contracts, quotations, and orders entered into by Trust Fertilizers Co. (hereinafter referred to as the “Seller”) and the purchasing entity (hereinafter referred to as the “Buyer”). Any modification to these terms must be confirmed in writing by the Seller.

2. Products and Specifications

The Seller guarantees that the supplied fertilizers (Urea, Ammonium Nitrate) meet the technical specifications described in the Proforma Invoice and the Technical Data Sheet (TDS). Quality verification is conducted at the factory laboratory prior to dispatch.

3. Orders and Validity

  • All orders are subject to acceptance by the Seller. A contract is formed only upon the issuance of a written Sales Confirmation or Proforma Invoice by the Seller.
  • Price quotations are valid for a period of 7 days unless stated otherwise, due to the fluctuation of global fertilizer market prices.

4. Prices and Incoterms

Unless otherwise agreed in writing, prices are quoted based on Incoterms® 2020 standards (e.g., FOB Alexandria, CIF Destination Port). Prices do not include import duties or taxes in the Buyer’s country unless explicitly stated.

5. Payment Terms

The Seller accepts the following payment methods for export orders:

  • Irrevocable Letter of Credit (L/C): At sight, confirmed by a first-class bank.
  • Telegraphic Transfer (T/T): An advance payment (deposit) upon order confirmation, with the balance paid against shipping documents copy.

6. Shipping and Delivery

Delivery dates are estimates provided in good faith. The Seller shall not be liable for delays caused by force majeure, port congestion, or shipping line schedule changes. Risk of loss transfers to the Buyer according to the agreed Incoterm.

7. Inspection

The Buyer has the right to appoint an independent inspection agency (such as SGS or Bureau Veritas) to verify the quality and quantity of goods at the port of loading at the Buyer’s expense, unless agreed otherwise.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising shall be settled amicably or referred to the competent courts in Alexandria, Egypt.
